Terms & Conditions

Please read these Terms and Conditions carefully before engaging CommuniCopy for any services. By instructing us to carry out work, you confirm that you have read, understood, and agree to be bound by these terms.

1. About Us

CommuniCopy is a website design and digital services company registered in Scotland under company number SC822936. Our registered office is at 87 Lindores Drive, East Kilbride, G74 1HJ.

2. Definitions

  • "CommuniCopy", "we", "us", "our": refers to CommuniCopy (SC822936)
  • "Client", "you", "your": refers to the individual or business engaging our services
  • "Services": website design, development, hosting, maintenance, and any other services provided by CommuniCopy
  • "Project": a specific piece of work agreed between CommuniCopy and the Client
  • "Brief": the written or verbal specification provided by the Client describing the requirements of a Project

3. Quotations and Proposals

All quotations provided by CommuniCopy are valid for 30 days from the date of issue unless otherwise stated.

A quotation does not constitute a binding contract. Work will only commence once a written instruction or confirmation has been received from the Client and any required deposit has been paid.

If the scope of work changes after a quotation has been accepted, CommuniCopy reserves the right to revise the price accordingly. Any such changes will be agreed in writing before additional work is carried out.

4. Project Timescales

Estimated delivery timescales are provided in good faith based on the information available at the time of quotation. Timescales are subject to the complexity of the project brief and the timely provision of content, materials, and feedback by the Client.

CommuniCopy will not be held liable for delays caused by:

  • Late or incomplete supply of content, images, or other materials by the Client
  • Delayed approval or feedback from the Client
  • Circumstances outside our reasonable control

Where a 72-hour turnaround is referenced, this applies to straightforward projects with a complete brief provided at the outset and is subject to our current workload and project complexity.

5. Payment Terms

Website Design Projects

  • A deposit of 50% of the agreed project fee is required before work commences
  • The remaining 50% is due upon completion, prior to the website going live
  • Invoices are payable within 14 days of issue unless otherwise agreed in writing

Hosting and Maintenance Packages

  • Monthly or annual hosting and maintenance fees are payable in advance
  • Annual packages are non-refundable once the service period has commenced
  • Failure to pay may result in suspension of hosting services

Late Payment

In accordance with the Late Payment of Commercial Debts (Interest) Act 1998, CommuniCopy reserves the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate.

6. Cancellation

If the Client cancels a project after work has commenced, the following cancellation terms apply:

  • Cancellation before work begins: deposit is non-refundable
  • Cancellation after work has commenced: all work completed to date will be invoiced at the agreed rate, up to the full project value

CommuniCopy reserves the right to cancel a project and issue a final invoice for work completed to date if the Client fails to respond to communications for more than 30 days.

7. Revisions and Amendments

Each website project includes a reasonable number of revisions as agreed in the project proposal. Revisions are defined as minor adjustments to agreed designs or content.

Significant changes to the scope, structure, or direction of a project after work has commenced may be subject to additional charges, which will be agreed in writing before work proceeds.

8. Client Responsibilities

The Client agrees to:

  • Provide a clear and accurate project brief
  • Supply all required content, images, logos, and materials in a timely manner and in suitable formats
  • Ensure that all materials supplied do not infringe any third-party intellectual property rights
  • Respond to communications and requests for approval within a reasonable timeframe
  • Ensure that all information provided is accurate, lawful, and not misleading

CommuniCopy accepts no liability for errors or delays resulting from the Client's failure to fulfil these responsibilities.

9. Intellectual Property

Ownership: Upon receipt of full and final payment for a project, the Client is granted full ownership of the completed website design and all associated files produced specifically for that project.

Third-Party Assets: Certain elements used in website designs (such as stock images, fonts, or plugins) may be subject to third-party licences. CommuniCopy will advise the Client of any such elements and the Client is responsible for ensuring ongoing licence compliance.

Portfolio Rights: CommuniCopy reserves the right to display completed work in its portfolio and to reference the Client as a customer in marketing materials, unless the Client requests otherwise in writing.

10. Hosting Services

Where CommuniCopy provides managed hosting, the following applies:

  • We will use reasonable endeavours to maintain uptime and security, but cannot guarantee 100% availability
  • Regular backups are performed, but the Client should maintain their own copies of critical data
  • CommuniCopy is not liable for data loss resulting from circumstances outside our control
  • Hosting services may be suspended if payment is not received within 14 days of the due date
  • 30 days' written notice is required to cancel a hosting package

11. Limitation of Liability

To the fullest extent permitted by law:

  • CommuniCopy's total liability in connection with any project shall not exceed the total fees paid by the Client for that project
  • We are not liable for any indirect, consequential, or economic loss, including loss of profits, revenue, data, or business opportunities
  • We are not liable for the performance of third-party services, platforms, or tools recommended or used in the delivery of a project

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Confidentiality

Both parties agree to keep confidential any information shared in the course of the business relationship that is designated as confidential or that is reasonably understood to be confidential in nature.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. Data Protection

CommuniCopy processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details of how we collect, use, and protect your data.

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Scotland. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Scottish courts.

15. Changes to These Terms

CommuniCopy reserves the right to update these Terms and Conditions at any time. The current version will always be available on our website. Continued use of our services following any changes constitutes acceptance of the updated terms.
